Bravo. Never say "substance over form" to the SEC or PCAOB. These organizations are full of "rule following clerks" in my opinion. What to do if faced with a transaction lacking a precedent? Cry! I had an SEC corporate finance person complain to me about a transaction one of my clients did. Why? The SEC had no "template" to fit it into. Really. He was unhappy when I told him look at the "substance".

One time that the language of audit opinions was being changed - in the 1970's I think when I was in undergraduate school - I remember a speaker who characterized the evolution as "Is it true" to "Is it fair" to "Will it fly".
